Terms of Service – Nordlyd Podcast Lab AS
These Terms of Service govern the use of services provided by Nordlyd Podcast Lab AS, Karl Johans gate 12, 0154 Oslo, Norway (“Nordlyd Podcast Lab AS”, “we”, “us”, or “our”). By engaging our services, placing an order, signing a service agreement, or otherwise accepting delivery of our services, the client (“you” or “the client”) agrees to be bound by these Terms of Service.
1. Introduction and acceptance of terms
These Terms of Service apply to all services provided by Nordlyd Podcast Lab AS in connection with podcast production and related services. If you do not agree to these Terms of Service, you must not use or purchase our services.
Any quotation, order confirmation, statement of work, project agreement, or written correspondence that supplements these Terms of Service shall be interpreted together with these Terms of Service. In the event of inconsistency, any expressly agreed written terms signed or confirmed by Nordlyd Podcast Lab AS shall prevail to the extent permitted by applicable law.
2. Scope of services
Nordlyd Podcast Lab AS provides podcast-related services, including but not limited to:
- Concept development for podcasts;
- Scriptwriting and editorial planning;
- Professional recording in studio or on location;
- Audio editing and mixing;
- Publishing and distribution to podcast platforms.
The exact scope, deliverables, deadlines, and pricing for each project shall be defined in the relevant quotation, order confirmation, or service agreement. Any services not expressly included are outside the agreed scope and may be charged separately.
We may use subcontractors or external collaborators to perform parts of the services, provided that we remain responsible for the agreed delivery in accordance with these Terms of Service and applicable law.
3. User obligations and responsibilities
The client shall:
- Provide accurate, complete, and timely information necessary for the performance of the services;
- Ensure that all materials supplied to us, including text, audio, music, images, logos, trademarks, and other content, are lawful and do not infringe third-party rights;
- Obtain all necessary consents, releases, permissions, and clearances for persons, locations, music, archives, and other materials used in the podcast;
- Review deliverables promptly and provide feedback, approvals, or correction requests within the time limits agreed;
- Use the services and deliverables in compliance with applicable laws and platform rules;
- Pay all fees and charges in accordance with the agreed payment terms.
The client is solely responsible for the legal and factual accuracy of any content supplied or approved by the client. We are not responsible for verifying the truthfulness, legality, or completeness of client-provided content unless expressly agreed in writing.
The client shall not use our services to produce content that is unlawful, defamatory, discriminatory, infringing, harmful, or otherwise contrary to applicable law or public order.
4. Payment terms and conditions
Prices are stated in Norwegian kroner (NOK) unless otherwise agreed. Unless expressly stated otherwise, prices are exclusive of value-added tax (VAT) and any applicable taxes, levies, platform fees, travel costs, studio rental, third-party licensing fees, or other expenses.
Unless otherwise agreed in writing:
- Invoices are payable within 14 days from the invoice date;
- We may require advance payment, deposit, or milestone payments before commencing or continuing work;
- Late payments may incur statutory default interest and collection costs in accordance with applicable Norwegian law;
- We may suspend work, delay delivery, or withhold publication/distribution until outstanding amounts are paid in full.
If the client requests changes outside the agreed scope, additional fees may apply. Any estimate or quotation is based on the information available at the time and may be adjusted if the project scope, timeline, or requirements change materially.
5. Cancellation and refund policy
Cancellations must be made in writing to Nordlyd Podcast Lab AS. The following applies unless a different cancellation policy is expressly agreed in writing:
- If the client cancels before work has started, we may retain or charge reasonable administrative costs and any non-recoverable third-party expenses;
- If the client cancels after work has started, the client shall pay for all work performed up to the cancellation date, including committed costs and reserved resources;
- If recording sessions, studio time, or external services have been booked, the client may be responsible for cancellation fees charged by third parties;
- Deposits are generally non-refundable to the extent they cover reserved capacity, planning, or non-recoverable costs, unless mandatory law requires otherwise.
Refunds, if any, shall be limited to amounts not yet earned or incurred by us and shall be assessed on a case-by-case basis. No refund is due for completed and approved work, or for delays caused by the client.
6. Liability limitations
To the maximum extent permitted by applicable law, Nordlyd Podcast Lab AS shall not be liable for indirect, incidental, consequential, special, or punitive damages, including loss of profit, loss of revenue, loss of data, loss of goodwill, or business interruption.
Our total aggregate liability arising out of or in connection with a specific service agreement shall be limited to the total fees paid by the client for the relevant service giving rise to the claim, except where mandatory law provides otherwise.
We are not liable for:
- Errors, omissions, or inaccuracies in content supplied or approved by the client;
- Claims arising from the client’s unlawful use of the deliverables;
- Platform outages, changes in podcast platform policies, or distribution failures beyond our reasonable control;
- Delays caused by the client, third parties, force majeure, or events outside our control;
- Any loss resulting from the client’s failure to secure necessary rights, permissions, or clearances.
Nothing in these Terms of Service excludes or limits liability where such exclusion or limitation is prohibited by mandatory law, including liability for intent or gross negligence where applicable.
7. Intellectual property rights
Unless otherwise agreed in writing, all pre-existing intellectual property rights in our tools, workflows, templates, methods, know-how, and materials remain the property of Nordlyd Podcast Lab AS or our licensors.
Upon full payment of all amounts due, the client receives a non-exclusive, worldwide, perpetual right to use the final deliverables created specifically for the client, to the extent such rights are transferable and subject to any third-party rights, licenses, or restrictions.
The client acknowledges that:
- Third-party materials incorporated into the deliverables may be subject to separate license terms;
- We do not transfer rights in music, stock assets, fonts, software, or other third-party materials unless expressly stated;
- We may retain copies of project files, drafts, and archived materials for internal documentation, quality assurance, legal compliance, and backup purposes.
Unless otherwise agreed, we may reference the client’s name, logo, and project in our portfolio, website, or marketing materials, provided that such use is reasonable and does not disclose confidential information.
8. Data protection and privacy
Nordlyd Podcast Lab AS processes personal data in accordance with applicable Norwegian data protection law and the General Data Protection Regulation (GDPR), where applicable.
We process personal data only to the extent necessary to provide our services, manage client relationships, handle billing, maintain records, comply with legal obligations, and protect our legitimate interests.
Depending on the nature of the project, we may process personal data such as names, contact details, voice recordings, images, and other content provided by the client or participants. The client is responsible for ensuring that any personal data supplied to us has been collected and shared lawfully and that necessary notices and consents have been obtained where required.

9. Force majeure
Neither party shall be liable for failure or delay in performance to the extent caused by events beyond its reasonable control, including but not limited to fire, flood, storm, epidemic, pandemic, war, terrorism, labor disputes, power failures, internet outages, governmental actions, transport disruptions, or failure of third-party services.
The affected party shall notify the other party as soon as reasonably practicable and shall use reasonable efforts to mitigate the effects of the force majeure event. If the event continues for an extended period, either party may have the right to suspend or terminate the affected services upon written notice, without liability for damages arising solely from the force majeure event.
10. Changes to terms
Nordlyd Podcast Lab AS may update or amend these Terms of Service from time to time. The updated version will take effect when published on our website or otherwise communicated to the client, unless a later effective date is stated.
For ongoing projects, material changes shall not retroactively affect services already agreed and paid for, unless required by law or expressly accepted by the client. Continued use of our services after changes take effect constitutes acceptance of the revised Terms of Service.
11. Applicable law and jurisdiction
These Terms of Service and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of Norway, without regard to conflict of law principles.
Subject to mandatory consumer protection rules where applicable, any dispute arising from these Terms of Service shall be submitted to the competent courts of Norway, with Oslo District Court as the agreed venue unless mandatory law provides otherwise.

13. Severability clause
If any provision of these Terms of Service is found to be invalid, unlawful, or unenforceable by a competent court or authority, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or, if that is not possible, severed from the remaining terms.
The remaining provisions shall continue in full force and effect. The invalidity or unenforceability of any provision shall not affect the validity of the rest of these Terms of Service.
